These Terms of Service ("Terms") govern your access to and use of mvssolves.com (the "Site") and the services offered by MVS Solves ("MVS Solves," "we," "us," or "our"), including website design and development, online booking systems, automation, and AI assistant integration (collectively, the "Services"). By using the Site or purchasing a Service, you agree to these Terms.
If you do not agree to these Terms, do not use the Site or Services.
1. Who We Are
MVS Solves is an independently operated (sole proprietor) digital services business based in Brea, California, USA, providing website builds, online booking systems, business automation, and AI assistant integrations to service businesses, including clients outside the United States.
2. Services
MVS Solves offers plans (Build, Automate, and Scale) on a monthly subscription or one-time ("Outright") payment basis, as described on the Site. The specific scope of each plan, including which features are included, is set out on the Site at the time of purchase and may be updated from time to time. Custom or à-la-carte services may be scoped and agreed separately in writing (including by email).
3. Free Trial
The Build plan may be offered with a 7-day free trial. Unless otherwise stated at signup:
- The free trial provides a live website and online booking system on the Build plan. Automations and features exclusive to Automate or Scale plans are not included during the trial.
- No payment is charged during the 7-day trial period.
- If you do not cancel before the trial period ends, your selected payment method will automatically be charged for the Build plan at the then-current price, on either a Monthly or Outright basis as selected at signup, and your subscription will continue on that basis until cancelled.
- You may cancel at any time before the trial ends at no cost, using the contact method in Section 23. We will confirm cancellation and no charge will be made.
- Free trial availability may be limited to one trial per business/customer and may be modified or discontinued at any time before signup.
4. Fees and Payment
- All prices are listed in US dollars (USD) unless otherwise indicated, and are subject to change with reasonable notice for existing subscriptions.
- Monthly plans are billed on a recurring basis until cancelled. Outright plans are billed once for the scope agreed at signup.
- Payments are processed by a third-party payment processor. By providing payment information, you authorize MVS Solves and its payment processor to charge the applicable fees.
- You are responsible for keeping your payment information current. Failure to pay may result in suspension or termination of Services.
5. Cancellation and Refunds
- Monthly plans: You may cancel at any time. Cancellation takes effect at the end of the current billing period, and you will not be charged for subsequent periods. Fees already paid for the current billing period are non-refundable except as required by law.
- Outright (one-time) plans: Once work has begun on a project, the one-time fee is non-refundable, except as required by law or as otherwise agreed in writing.
- Free trial: No charge applies if cancelled before the trial period ends, per Section 3.
To cancel, contact us using the information in Section 23.
6. Client Responsibilities
To deliver Services on schedule, we rely on you to provide timely feedback, content, access credentials, and approvals reasonably requested during the course of a project. Delays in providing these may delay delivery of the Services.
7. Intellectual Property
- Upon full payment, you own the final website content, copy, and branding materials created specifically for your business as part of the Services.
- MVS Solves retains ownership of its own pre-existing tools, code libraries, templates, frameworks, and any general-purpose components not unique to your project, and may reuse them in other work.
- You grant MVS Solves a limited license to display completed work as part of a portfolio or case study, unless you request otherwise in writing.
8. Confidentiality
Each party may share business, technical, or other non-public information with the other in the course of the Services ("Confidential Information"). Each party agrees to use the other's Confidential Information only to perform its obligations under these Terms, and to protect it with the same degree of care it uses for its own confidential information (and no less than reasonable care). This does not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to it, or must be disclosed by law.
9. Data Protection and CCPA
MVS Solves processes personal information in accordance with our Privacy Policy and, where applicable, the California Consumer Privacy Act as amended by the California Privacy Rights Act ("CCPA"). Where a Service involves MVS Solves processing your own end-customers' personal information on your behalf (for example, through a booking system or AI assistant built for your business), you remain the party responsible for that data under CCPA and any other applicable law, and MVS Solves acts strictly as a service provider on your documented instructions. You are responsible for ensuring you have the necessary rights, notices, and consents in place with your own customers to allow that processing.
10. Third-Party Services
The Services may incorporate or rely on third-party tools (including scheduling, payment processing, hosting, and automation platforms). Your use of those tools may be subject to the third party's own terms and privacy policy, and MVS Solves is not responsible for the acts or omissions of third-party providers.
11. Disclaimers
The Services are provided "as is" and "as available." MVS Solves does not guarantee specific business outcomes, including but not limited to increases in leads, bookings, revenue, or search engine rankings, as these depend on factors outside our control. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law, MVS Solves' total liability arising out of or relating to these Terms or the Services will not exceed the total fees paid by you to MVS Solves in the three (3) months preceding the event giving rise to the claim. MVS Solves will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Indemnification
You agree to indemnify and hold MVS Solves harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of: (a) content, data, or instructions you provide us; (b) your use of the Services in breach of these Terms or applicable law; or (c) your own handling of your end-customers' personal information in breach of Section 9.
14. Force Majeure
Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including power or utility outages, internet or telecommunications infrastructure failures, natural disasters, labor disputes, or acts of government. The affected party will make reasonable efforts to notify the other and resume performance as soon as reasonably possible.
15. Termination
We may suspend or terminate access to the Services if you breach these Terms, fail to pay applicable fees, or engage in conduct that we reasonably believe is harmful to MVS Solves or others. You may terminate a Monthly plan at any time per Section 5. Sections that by their nature should survive termination (including Intellectual Property, Confidentiality, Data Protection, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) remain in effect after termination.
16. Assignment
MVS Solves may subcontract or assign its rights and obligations under these Terms, in whole or in part, including to contractors who assist in delivering the Services, provided MVS Solves remains responsible for the Services delivered. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
17. Severability
If any provision of these Terms is found unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
18. No Waiver
Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing to be effective.
19. Entire Agreement
These Terms, together with the Privacy Policy and any written scope or proposal agreed between you and MVS Solves, constitute the entire agreement between you and MVS Solves regarding the Services, and supersede any prior agreements or understandings on that subject.
20. Notices
Notices under these Terms may be given by email — to martin@mvssolves.com for notices to MVS Solves, and to the email address you provided at signup or in correspondence for notices to you. Notices are treated as received on the day they are sent, unless the sender receives a delivery failure notification.
21. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
If a dispute arises out of or relating to these Terms or the Services, the parties will first attempt in good faith to resolve it through informal negotiation between the parties for at least 14 days. If that does not resolve the dispute, the parties agree to attempt mediation before pursuing litigation. Subject to that, any dispute not resolved by negotiation or mediation will be submitted to the exclusive jurisdiction of the state and federal courts located in Orange County, California, and each party consents to the jurisdiction of those courts.
Nothing in this section prevents either party from seeking urgent interim relief (such as a temporary restraining order or preliminary injunction) from a competent court where necessary to protect its rights.
22. Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted on this page, with the "Last updated" date revised accordingly. Continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms.
